This website is operated by 95 Solutions LLC, a company registered in the United States ("95 Solutions", "we", "us"). By using the site, you agree to these terms. If you do not agree, please do not use the site. We have written them in plain English, but they are still a legal document. If anything here matters to a decision you are making, you may want to consult a lawyer.
Part 1: Terms for Using This Website
Information on the site
The content on this website is general information about marketing, development and our services. It is not professional advice for your specific business. Platform features, policies and prices at Google, Meta, Shopify and other providers change often, and while we work to keep pages accurate, we cannot promise that every detail is current.
Free tools and audits
Tools such as our ROAS calculator produce estimates from the numbers you enter. They are for planning only and are not a forecast of results. A free audit is an opinion based on the access and information available to us at the time, and acting on it is your decision.
Acceptable use
You agree not to misuse the site: no attempts to break or overload it, gain unauthorized access, scrape it at a volume that affects other visitors, submit spam through our forms, or use it for anything unlawful.
Our content
The text, design, graphics and code of this website belong to 95 Solutions or are used under license. You may read, share links to and quote short passages from our pages with a link back. You may not republish our content in bulk or present it as your own.
Links to other websites
We link to other websites, including our own products and third-party platforms. We are not responsible for their content, policies or availability.
Part 2: Summary of Our Client Service Terms
When you hire us, a written proposal or statement of work sets out the exact scope, price, term and deliverables. The points below are the general terms behind every engagement. Where a signed proposal or statement of work says something different, the signed document wins.
Proposals and statements of work
Each engagement is defined by a signed proposal or statement of work. Work outside that scope is quoted separately and started only after you approve it in writing.
Fees, invoicing and payment
All fees are quoted and invoiced in US dollars by 95 Solutions LLC, and can be paid by Zelle, bank transfer (ACH or wire), Wise or PayPal, or any other method we list on our payment methods page at the time of the invoice. Retainers are invoiced monthly, fixed-price projects by milestone, and dedicated staff monthly. Ad spend is paid by you directly to the ad platforms and is never part of our fees. We may pause work if an invoice is significantly overdue, after giving you notice.
Minimum terms and ending an engagement
Marketing retainers have a minimum term, usually 3 months, stated in the proposal. After it, either party can end the retainer with 30 days written notice. On fixed-price projects, milestones you have approved and paid for are final, and work on later milestones stops if the project is ended early. Either party may end an engagement immediately if the other seriously breaches the agreement and does not fix the breach after notice.
Ownership and intellectual property
You own the ad accounts, analytics properties, domains, stores and platforms we work in, and we access them as users. Code, designs, content and other deliverables we create for you transfer to you once they are paid for. We keep ownership of our own tools, templates, know-how and pre-existing code, and where these are built into your deliverables, you receive a permanent license to use them as part of those deliverables.
Your responsibilities
You agree to provide timely access, accurate information and prompt approvals, and to make sure the products, claims and materials you ask us to promote are lawful and that you have the rights to them. Delays in access or approvals can move deadlines.
Confidentiality
We keep your business information confidential and use it only to deliver the services. We never publish your name, logo or results without your written permission.
No guarantees of rankings or ad results
Search engines and ad platforms control rankings, ad approval and delivery. We do not guarantee any ranking position, traffic level, return on ad spend, revenue or other outcome. We do commit to delivering the agreed scope with reasonable skill and care, and to reporting honestly on results.
Third-party platforms
Our work depends on platforms such as Google, Meta, Shopify and others. We are not responsible for their outages, policy changes, account suspensions or decisions, although we will help you respond to them.
Limitation of liability
To the extent the law allows, neither party is liable to the other for indirect or consequential losses, such as lost profits, lost revenue or lost data. Our total liability for any claim relating to an engagement is limited to the fees you paid us for the service that gave rise to the claim during the 3 months before it arose, unless the signed agreement sets a different limit. Nothing in these terms limits liability that cannot be limited by law.
Part 3: Governing Law, Changes and Contact
Governing law
These terms, and any dispute about the website or our services, are governed by the laws of the state in which 95 Solutions LLC is registered, and of the United States where applicable, unless a signed agreement states otherwise.
Changes
We may update these terms from time to time. The date at the top shows when they last changed. Changes to this page do not alter a signed agreement already in place.
